Liability
Under no circumstance shall we have any liability to you for any loss or damage of any kind incurred as a result of the use of our Digital services.

We are in no way responsible for any loss or damage to your company or its reputation, which may happen as a result of the delay in web development, Virus attack to your website, poor digital marketing of your previous digital marketer, someone deliberately using black hat techniques for your website to delist from search, If customer is managing website & hosting at their end, if customer is providing content at their end, if customer has access to user names & passwords for websites, social & search services,

Confidential Information
We may require certain information which is non-public and confidential and in connection with the digital services, you acknowledge and understand to disclose such information if requested.

Error resolution
Referring Google Search Penalty, we cannot guarantee the resolution of the error or problems you are facing, and the time required in fixing the same.

Error Repetition
Ref. infected website with a virus, if the error repeats after a successful resolution, Bitvero is in no way responsible for the same and will charge the client again if contacted.

Google Penalty Recovery
Reckoning the time required to fix the resolution may or may not depend upon primary assessment, and that will subject to the nature of the issue and error customer is facing.

Issue Escalation
Errors related to Google penalty recovery, if the case falls beyond the scope of penalty recovery service, such circumstances demand time & scoping of the issue and hence subject to full health check and evaluation.

Website Development

Highlights

• Proposed number of pages are as per the calculator
• A box standard template based procedure will be followed to develop the digital asset
• In case if customer provides website content and images, customer ensures content & images are not copied and images are royalty free.
• We use Word Press as a standard CMS for development

Terms

• All fees, services, documents, recommendations and reports are confidential.
• All payments made to Bitvero Ltd. are non-refundable.
• All prices are Ex-GST.

Things which we are expecting from Client

• Finalize website theme & design
• Finalize sitemap
• 50% Advance payment and rest of the 50% within a week after site goes live.

Understanding for Customer

• Maximum number of web pages we are considering to design are as per the calculator/package
• It is agreed that customer will pay for any additional page at the same amount per page
• Any changes or revisions to the site once it goes live should be requested within first 10 days.
• Delays related with approvals or things we require from customer end will delay the process as a whole and timelines becomes void.

Search Engine Marketing

Highlights

• Recurring Cost per calendar month is as per the calculator/package
• Customer to confirm keywords selection

Terms

• All fees, services, documents, recommendations and reports are confidential.
• As Google and other primary search engines algorithm are uncertain, and this may affect client’s ranking without any prior notice. Bitvero Ltd will not be responsible for any such condition, and thus the payments made to Bitvero Ltd for online Marketing activities remains non-refundable
• All recurring invoices to be paid in full at the starting week of each month
• Bitvero Ltd off-site SEO Services are intended to provide preferential positioning on the selected search engine, i.e. Google. To achieve SERP (Search engine ranking positions) depends on the number factors like is the campaign old or new; keywords competition level, number of quality backlinks etc. Therefore, it is hard to make commitments to put all the keywords on top of Google within a given period. However, with our team’s knowledge and experience, we’ll try our best to make this happen as soon as possible.
• This agreement shall be for an initial minimum period selected as per the package starting on the day of signing of this contract and shall continue for subsequent periods of 12 months unless or until terminated by either party giving to the other at least 3 Calendar months written notice prior to the expiration of the initial minimum period or any anniversary thereof. Any early termination will attract the payment of a full monthly recurring fee for the balance of the period of the term of contract
• Customer will pay directly to platforms like Facebook, Twitter via credit card in case of Paid campaigns and any paid suggestions.

Client Responsibilities

• Client agrees to pay timely as per payment terms mentioned in this document
• Client shall not copy the content of the website to other places on Internet
• Client shall timely provide any information we may request

Fees & Payments

• All fees and payments are non-refundable
• Ownership of all digital assets shall remain with us until the balance payment is cleared. In the event of your failure to pay the remaining amount, we reserve the right to resell the aforementioned digital assets after removing any branding of the client’

Acknowledgement

• We reserve the right to change the policies, terms and condition in the agreement at any given time,
• The content displayed in the deal is the intellectual property of Bitvero Ltd.
• You may not reuse, republish, or reprint such material without our written consent.

Governing Law

• This Agreement shall be governed and construed following the laws of Indian sub-continent,
• Any judicial proceeding brought regarding any dispute arising out of this Confidentiality Agreement or any matter related to it may be brought in the Indian court of law.
